Bank of Montreal (BMO), incorporated in 1821, is a diversified North American financial services provider. The Company operates through three segments: Personal and Commercial Banking Canada, Private Client Group and BMO Capital Markets (BMO CM). Personal and Commercial Banking Canada provides financial services to personal and commercial customers across Canada and in select markets in the United States. Private Client Group provides wealth management products and solutions to individuals and institutional segments through BMO Bank of Montreal, BMO Nesbitt Burns, BMO InvestorLine, BMO Guardian, Jones Heward Investment Counsel, HIM Monegy and BMO Harris Private Banking in Canada; Harris Private Bank and Harris Investment Management in the United States, and Pyrford International, based in the United Kingdom. BMO Capital Markets offers clients financial and capital markets solutions to corporate, institutional and government clients primarily in Canada and the United States, as well as in the United Kingdom, Europe, Asia and Australia. During the fiscal year ended October 31, 2008, BMO completed the acquisition of Pyrford International plc, (Pyrford International), Ozaukee Bank, Merchants and Manufacturers Bancorporation, Inc., Griffin, Kubik, Stephens and Thompson Inc.
As of October 31, 2008, BMO maintained 983 bank branches in Canada, including instores and operated internationally in financial markets and trading areas through its offices in eight other countries, including the United States. Harris Financial Corp. (Harris), based in Chicago and wholly owned by Bank of Montreal, operates through its indirect subsidiary Harris N.A., a community banking business, which provides personal and business banking services in select markets in the United States Midwest; a wealth management business offering private banking, personal trust and investment products in select United States markets; as well as corporate and investment banking services under the BMO Capital Markets brand. BMO provides a range of investment dealer services through the BMO Nesbitt Burns group of companies, which include BMO Nesbitt Burns Inc., a Canadian investment dealer in which Bank of Montreal, which owns 100% of the voting shares, and BMO Capital Markets Corp., Bank of Montreal’s wholly owned registered securities dealer in the United States.
Personal and Commercial Banking (P&C)
P&C combines the Company’s two retail and business banking operating segments: Personal and Commercial Banking Canada (P&C Canada) and Personal and Commercial Banking U.S. (P&C U.S.). P&C Canada offers a range of products and services. These include solutions for everyday banking, financing, investing, credit card and insurance needs, as well as a full suite of integrated commercial and capital market products and financial advisory services. P&C Canada manages an integrated national network of BMO Bank of Montreal branches, telephone banking, online banking, mortgage specialists, financial planners and approximately 2,000 automated banking machines. P&C U.S. offers a range of products and services to consumers and businesses, including deposit and investment services, mortgages, consumer credit, business lending, cash management and other banking services.
Private Client Group (PCG)
PCG offers a range of client segments, from mainstream to ultra-high net worth, as well as select institutional market segments. It offers clients a range of wealth management products and services, including full-service and online brokerage in Canada, and private banking and investment products in Canada and the United States.
BMO CM offers a range of corporate, institutional and government clients in Canada and the United States. It also serves clients in Canada, the United States, the United Kingdom, Europe, Australia, Asia and South America. It offers financial solutions in areas, including equity and debt underwriting, corporate lending and project financing, mergers and acquisitions (M&A) advisory services, merchant banking, securitization, treasury and market risk management, foreign exchange, derivatives, debt and equity research, and institutional sales and trading.
The Company competes with Bank of America Corporation, J.P. Morgan Chase & Co. and The PNC Financial Services Group Inc.
